1. Introduction

These Terms and Conditions ("Agreement") constitute contract between Linkspring, a trading style of Pluto Invest Ltd ("we," "us," or "Linkspring"), and you, the user ("you", “Creator” or "Account Holder"). This Agreement governs your use of the Linkspring website and its associated services (collectively, the "Linkspring Services"). By accessing or using the Linkspring Services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, you should refrain from using the Linkspring Services.

Linkspring reserves the right to update and amend these Terms and Conditions at any time. The most current version of this Agreement will be available on our website. By continuing to use the Linkspring Services after changes are made, you consent to the updated Terms and Conditions.

2. Linkspring Services

The Linkspring Services allows Creators to monetise their content, influence, and business through aliate links from brands. You will earn commissions ("Commission") on referred transactions, where a transaction is tracked and completed by someone referred to the brand through your aliate link.

The Linkspring Services include, but are not limited to:

- Generating unique links for online transactions with brands.
- Using 3rd party software and brand reports to track referred transactions and report calculated Commission earned based on these referrals.
- Providing a system for the payment of earned Commission to Creators, once funds have been approved, cleared and received by Linkspring from the retailer.

The Commission you earn will depend on the specific terms agreed between Linkspring and the relevant retailer, as well as the nature of the transaction. Commission will only be reported upon confirmation of a valid referred transaction by the retailer. Commission levels vary between retailers, can work dierently and can be subject to change.

3. Account Registration

To access and use the Linkspring Services, you must create an Account. You represent and warrant that you are at least 18 years of age and a legal resident of the United Kingdom. You are permitted to create and maintain only one Account at any time.

During the registration process, you will be required to provide certain personal information, including, but not limited to, your name, address, social channels and payment method details (such as a bank account number or PayPal details) for Commission payouts. You agree to provide accurate, up-to-date information and to promptly notify Linkspring of any changes to your details.

You are responsible for maintaining the accuracy and security of your Account information. It is essential that you provide an email address that is both current and accessible, as all important communications from Linkspring will be sent to this address.

 

4. Commission

As an Creator, you will earn Commission based on the referred transactions, completed and tracked through your link, that meet the requirements of the retailers involved. The Commission you earn will

be reported to you once the retailer has confirmed the completion of a qualifying transaction.

Please note that not all transactions are eligible for Commission. Transactions may be excluded, reversed or removed from earning Commission in the following, but not limited to cases:

If the transaction is cancelled, refunded, or reversed by the retailer.
If the transaction is not completed immediately and wholly online.
If the transaction involves fraudulent activity or violates the terms set forth in this Agreement. If the transaction is made using a link that is not generated through the Linkspring platform.
If the retailer reverses the transaction, in accordance with their terms.

Upon confirmation of a valid referred transaction, the corresponding Commission will be reported to you. You may request a payout of your Commission once all verification processes have been completed and Linkspring have received the funds from the brand.

 

5. Intellectual Property

Linkspring retains all intellectual property rights in its services, software, trademarks, logos, and any associated materials, including but not limited to proprietary content, designs, and methodologies. You are granted a non-transferable, non-exclusive licence to use the Linkspring Services for personal use only.

You are prohibited from reproducing, distributing, modifying, or otherwise using any of the intellectual property belonging to Linkspring without explicit written permission. All intellectual property not expressly licensed to you in this Agreement remains the exclusive property of Linkspring or its licensors.

6. Privacy Policy

By using the Linkspring Services, you consent to the collection, use, and processing of your personal data in accordance with our Privacy Policy. The Privacy Policy outlines how Linkspring collects, stores, and protects your information and provides details on how we use this data to deliver the Services. We strongly recommend that you review the Privacy Policy before using our services.

7. Our Role

Linkspring acts as an intermediary between you and the brands with whom you are aliated. We facilitate the referral process, help track qualifying transactions through the use of 3rd party software and commission reports, and ensure that Commission is paid to you in accordance with the terms of the brands' agreements, once we have received the funds.

However, Linkspring is not a party to the specific nature of transactions between you and the brands and does not endorse, guarantee, or assume responsibility for the quality, legality, or availability of the products or services oered by these retailers. Linkspring does not accept liability for any issues that arise between you and the brand, including but not limited to disputes, product defects, or delays.

Account Holders should exercise no lesser degree of caution in entering into transactions with retailers than they would when entering into a similar transaction elsewhere.

To the extent that the law permits, you release us, our agents and employees from all liability arising out of or in connection with any transactions with retailers, including (without limitation) all claims and demands relating to transactions (whether completed or uncompleted) with retailers, or goods or services oered for sale or supply, or actually sold or supplied, through or in connection with any transactions with retailers.

8. Misuse of the Linkspring Services

You agree not to misuse the Linkspring Services in any way that could harm or disrupt our platform or any associated services. Specifically, you agree not to:

- Use the Linkspring Services to engage in fraudulent, misleading, or deceptive activities.

- Use the personal information of others without their consent.
- Violate any terms of service or guidelines set by Linkspring or our partner retailers.

It is each Creator's obligation to ensure that any material posted by them associated with their Account:

- is not defamatory, offensive, or abusive or of an obscene, indecent or menacing nature;
- is not intended or likely to cause needless annoyance, inconvenience or distress to any person;

- does not contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority, or expropriate any system, data or personal information;
- does not contravene any applicable law or regulation (including, but not limited to, laws governing consumer protection, distance selling, unfair competition, anti-discrimination, false advertising, copyright, trademark and privacy);
- does not breach the rights of any person or entity (including any rights or expectations of privacy);
- where it constitutes feedback on a retailer, is accurate and fair.

In the event that we determine that you have misused the Linkspring Services, we reserve the right to suspend, restrict, or terminate your Account and withhold any Commission earned from fraudulent or inappropriate activity.

We are not liable for the review or monitoring of any such material. If you see or experience anything on or related to the Linkspring Services that appears to infringe any of the above requirements, we would like you to inform us by contacting hello@linkspring.co.uk.

Each Account Holder acknowledges that we are entitled, but not obliged, to withdraw any material, which appears - based on information received from third parties or other Account Holders - to be in breach of this Agreement.

 

9. Account Security

You are solely responsible for maintaining the confidentiality and security of your Account information, including your login credentials. If you believe that your Account has been accessed by an unauthorised party, you must notify us immediately.

Linkspring will not be held responsible for any losses or damages resulting from the compromise of your Account information. You agree to take all reasonable measures to protect your login credentials

and ensure the security of your account.

10. Contact from third parties

If anyone contacts us in relation to material or transactions associated with you or your Account, then you agree:

1. to provide all reasonable information and assistance we may require in connection with responding to that contact; and

2. to respond promptly and accurately to it, should we pass the message to you for a response.

3. Remove any content deemed a breach of these terms and conditions or the terms and conditions of

   retailers associated with the material or transactions.

11. Limitation of Liability

While Linkspring endeavours to provide the Linkspring Services with reasonable care and diligence, we cannot guarantee that the Services will meet your specific requirements or be free from interruptions, errors, or delays.

Linkspring’s liability in relation to the provision of the Linkspring Services is limited to the amount of Commission earned by you during the 1-month period immediately preceding any claim. Under no circumstances will Linkspring be liable for indirect, special, or consequential damages, including, but not limited to, loss of business, data, profits, or goodwill. This limitation of liability does not apply to claims arising from fraud, death, or personal injury caused by our negligence.

We will not be liable to you or anyone else, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise:

for any loss of revenue, business, anticipated savings or profits, or
for any indirect, special or consequential loss, damage, costs or other claims, however caused or arising, whether through non-supply or late supply of the Linkspring Services or other non- performance of this Agreement or otherwise.
To avoid doubt, nothing in this Clause 11 limits our obligation to pay Commission to an Account Holder in accordance with the terms of this Agreement.
Except as expressly stated elsewhere in this Agreement, all representations, warranties, conditions and other terms, whether express or implied (by common law, statute, collaterally or otherwise) are hereby excluded, except in the case of fraud, or where such exclusion is not permitted by law.
For the avoidance of doubt, Linkspring will not have liability to you or any other person in respect of material contributed by Account Holders, transactions (or non-transactions) with brands, or any activity or communication relating to such material or transactions.

The provisions of this Clause 11 shall survive the termination or expiry of this Agreement.

12. Indemnity

You agree to indemnify and hold Linkspring, its officers, employees, partners and affiliates harmless from and against any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Linkspring Services, any breach of this Agreement, or any transaction you conduct with a retailer. You agree to be wholly responsible for all liabilities, claims and expenses that may arise out of or in connection with Linkspring.

 

13. Assignment

Linkspring reserves the right to assign or transfer its rights and obligations under this Agreement to any third party, in whole or in part, at its sole discretion. You may not assign or transfer this Agreement or any of your rights or obligations without our prior written consent.

 

14. Amendments to the Agreement

Linkspring reserves the right to amend these Terms and Conditions at any time. If we make significant changes to the Agreement, we will notify you through our website or by email. Your continued use of the Linkspring Services following such changes constitutes your acceptance of the updated Terms and Conditions.

 

15. General Terms

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and eect. This Agreement represents the complete and exclusive understanding between you and Linkspring regarding the use of the Linkspring Services, superseding any prior agreements or understandings.

You and Linkspring are independent contractors, and no agency, partnership, joint venture or employee-employer relationship is intended or created by this Agreement. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

16. Additional services

We or our partners may oer new or additional services through the Linkspring Services from time to time. Your use of those services may be subject to additional terms and conditions, which you must comply with. Provided that those terms are notified to you on the Linkspring Services in an appropriate manner when you agree to take those services, any failure by you to comply with a material provision of the terms governing those services will amount to a breach of this Agreement.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By using the Linkspring Services, you acknowledge that you have read, understood, and agreed to the terms set forth in this Agreement.

 

18. Keeping this Agreement

We do not separately file the individual Agreements entered into by Account Holders when they register for the Linkspring Services. You can access it on the Linkspring website. Please make a durable copy of this Agreement by printing and/or saving a downloaded copy on your own computer. It is offed in English only.

Please note that all communications (including formal notices) under this Agreement are to be sent and received by email. For this purpose, your notices should be sent via our contact form, and we will send our notices to you at the email address you notify us to use when you register as an Account Holder, as changed subsequently in your Account details.
